Terms and Conditions

1. Overview and Binding Agreement

This is a binding agreement between VJ-Sync HMS, referred to as the Provider, and the hospital or clinic owner, referred to as the Subscriber. By accessing or using the SaaS platform, you agree to be bound by these Terms and Conditions.

2. Nature of Service

VJ-Sync HMS provides a cloud-based Hospital Management System including patient management, billing, OPD, IPD, pharmacy, laboratory, and radiology modules. This is a purely digital service. There are no physical goods, shipping, or delivery obligations unless defined in a separate hardware agreement.

3. User Account and Security

• Subscribers must provide accurate and complete information during registration.
• Subscribers are responsible for maintaining the confidentiality of all staff login credentials.
• Each tenant is responsible for preventing unauthorized access or cross-clinic sharing of credentials.

4. Data Privacy and Compliance

• Subscribers retain ownership of the data entered into the system, including patient records and financial data.
• Provider access is limited to support, troubleshooting, and legal compliance purposes.
• Subscribers must ensure their own compliance with applicable healthcare and privacy regulations.

5. Subscription, Payments, and Renewals

• Access is subject to timely payment of subscription fees under the selected plan.
• Fees are charged in advance according to the agreed billing cycle.
• Subscriptions may renew automatically unless cancelled before the applicable cutoff.
• Taxes such as GST may apply unless explicitly stated otherwise.

6. Cancellation and Suspension

• Cancellation requests stop future billing cycles.
• No partial refunds are provided for the current active month unless stated in the refund policy.
• Access may be suspended for overdue payments, with limited retrieval windows where applicable.

7. Clinical Responsibility

VJ-Sync HMS is a management tool and not a diagnostic tool. It does not provide medical advice or clinical judgment. Any clinical decision, drug dosage, or interpretation remains the sole responsibility of licensed medical practitioners using the system.

8. Service Availability

The platform targets high availability, excluding scheduled maintenance windows. Planned maintenance is normally communicated in advance where feasible.

9. Intellectual Property

All software code, UI and UX designs, and brand assets related to VJ-Sync HMS remain the exclusive intellectual property of the Provider. Subscribers receive a non-exclusive, non-transferable right to use the service.

10. Limitation of Liability

The Provider is not liable for indirect, incidental, or consequential damages, or for losses caused by subscriber negligence such as weak passwords or internal misuse. Liability is limited to the amount paid by the Subscriber during the three months preceding the claim, to the maximum extent permitted by law.

11. Governing Law and Dispute Resolution

These terms are governed by the laws of India. Any disputes arising from this agreement are subject to the exclusive jurisdiction of the courts in Sonipat, Haryana.
